Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Hello Athena, LLC ("Hello, Athena," "Athena," "we," "us," or "our") governing your access to and use of the Hello, Athena studio software at helloathena.io (the "Service").

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

Hello, Athena is a software-as-a-service (SaaS) platform for professional photographers and videographers to manage client relationships, inquiries, quotes, contracts, invoices, payments, and business workflows. The Service includes:

  • Client contact management and pipeline tracking
  • Invoice creation and online payment collection (via Stripe)
  • Contract creation, e-signatures, and delivery
  • Inquiry forms and call booking
  • Workflow automations and email communications
  • Business analytics and reporting

3. Eligibility

You must be at least 18 years old and capable of entering into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use at support@helloathena.io.

You agree to provide accurate, current, and complete information during registration and to update it as necessary.

5. Subscription Plans & Billing

5.1 Plan

The Service is offered as one paid subscription plan at $35 per month, with every feature included. There are no tiers to choose between. Pricing is described on our website and may change with 30 days' notice.

5.2 Founding Members

People we invite off our waitlist may join as Founding Members at a reduced rate instead of$35 per month, such as $25 per month. Your rate is the one stated in your invitation. It lasts for as long as that subscription stays active, including improvements we make to the plan, unless your invitation gives it a set length (for example 12 months), after which the subscription continues at the regular price. If the subscription is canceled or lapses, the rate ends. Founding rates are billed monthly. Future add-ons are priced separately.

5.3 Free Trial

Your first subscription starts with a 14-day free trial. Unless you cancel before the trial ends, your payment method is charged when it ends. The free trial is offered once per account: if you have subscribed before, including on a beta or Founding Members plan, a new subscription is charged from the day it starts. If you cancel or your payment fails, your access will be restricted to billing and account management pages.

5.4 Payment

Subscription fees are billed in advance for each billing period via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. All fees are in U.S. dollars unless otherwise stated.

5.5 Cancellation

You may cancel your subscription at any time through the billing settings or Stripe Customer Portal. Cancellation takes effect at the end of the current billing period. No pro-rated refunds are provided for partial billing periods.

5.6 Refunds

Subscription fees are generally non-refundable. We may, at our sole discretion, issue refunds on a case-by-case basis. Contact support@helloathena.io for refund requests.

6. Stripe Connect & Client Payments

The Service allows photographers to accept payments from their clients via Stripe Connect. When you connect a Stripe account:

  • You are entering into a separate agreement with Stripe and are subject to Stripe's terms and policies.
  • Athena facilitates the payment flow but is not a party to the transaction between you and your client.
  • You are solely responsible for any disputes, refunds, chargebacks, or tax obligations arising from client payments.
  • Athena does not charge a platform fee on client invoice payments.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Send unsolicited commercial messages (spam) through the email features
  • Upload, store, or transmit content that is illegal, harmful, or infringes on others' rights
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service for any purpose other than managing a legitimate photography or videography business
  • Resell, sublicense, or share account access with unauthorized users

We reserve the right to suspend or terminate accounts that violate these terms.

8. Your Content & Data

8.1 Ownership

You retain all rights to the content you upload, create, or store on the Service, including client data, contracts, invoices, photos, and business information.

8.2 License

You grant Athena a limited, non-exclusive license to host, store, process, and display your content solely for the purpose of providing the Service to you.

8.3 Data Responsibility

You are responsible for the personal data of your clients that you store in the Service. You must ensure you have appropriate consent or legal basis to collect and process your clients' data, and you must comply with all applicable data protection laws (e.g., GDPR, CCPA) as they apply to your business.

8.4 Backup

While we take reasonable measures to protect your data, you are responsible for maintaining your own backups. You can export your data at any time from account settings.

9. Intellectual Property

The Service, including its design, code, logos, trademarks, and documentation, is owned by Hello Athena, LLC and is protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

10. Third-Party Services

The Service integrates with third-party providers (Stripe, Resend, etc.). Your use of these integrations is subject to their respective terms. Athena is not responsible for the availability, accuracy, or conduct of third-party services.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We are not responsible for any contracts, invoices, or business agreements facilitated through the Service.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATHENA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold Athena harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights, including your clients' rights.

14. Account Termination

We may suspend or terminate your account at any time for violation of these Terms, non-payment, or at our sole discretion with reasonable notice. Upon termination, your right to use the Service ceases immediately. You may export your data before termination.

You may delete your account at any time from Settings > Profile. Account deletion is permanent and cannot be undone.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Utah.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
